These Terms and Conditions of Use (the “Terms of Use“) apply to My Little French Club web site located at mylittlefrenchclub.com (“Site“). In these Terms of Use, “My Little French Club”, “we” “us” and “our” refers to the Site.

The contents of the Site and Services, including all material, products, processes, technologies, images and graphics and information related to our products and services provided by this Site, including without limitation, any product or service plan, offerings, knowledge base materials or other technical or marketing materials of My Little French Club (collectively “Information“), are subject to intellectual property rights reserved by us, or our licensors, and are for informational, single classroom use, non-commercial or personal use only (unless we agree otherwise).
We may offer materials (including but not limited to printables, courses, ebooks, programs, tutorials whether in a paper or digital format) on this Site for you to download at no cost (“Free Materials”) or subject to a fee (“Paid Materials”), together referred to as the “Materials”. Our Materials including all content are protected by copyright pursuant to international copyright laws. We grant you a limited, revocable, non exclusive, non-transferable right and licenses (without the right to grant or authorise sublicenses) to access, download, use or print the Materials solely by you for non-commercial, single classroom use or personal use only, in accordance with these Terms of Use.

We own the intellectual property rights in, and have permission to use or display, the Information, Materials and contents of the Site. Account Credentials

No Refunds
All sales of our Materials or Services on this Site are final. No refunds will be issued unless we agree otherwise. In the event a Material is faulty or corrupted, we endeavour to replace or exchange it at no additional cost to you.
Limitation of Liability
To the full extent permitted by law, in no event will we be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.
Our liability to you for all claims related to the Materials, Services or the Site will at all times be limited to the greater of the total of any fees with respect to any service or feature of or on the Site paid through the Site in the six months prior to the date of the initial claim made against us, or USD $100. This limitation shall apply regardless of whether the damages arise out of breach of contract, tort, or any other legal theory or form of action.
Every effort is made to keep the Site up and running smoothly. Notwithstanding, we take no responsibility for, and will not be liable for, the Site being temporarily unavailable due to technical issues beyond our reasonable control.

Indemnity

Dispute
In the event of any dispute that cannot be resolved, both parties agree to obtain an independent professional arbitrator/dispute resolution specialist to make a determination on the dispute and each party agrees to pay their own costs.
Governing Law and Jurisdiction
You agree that any legal action, proceeding or other matter related to your access to, or use of, the Site or the Information it contains shall be governed by the laws of the State of New South Wales (Australia), without giving effect to any principles of conflicts of laws.
Entire Agreement
These Terms of Use incorporate by reference our Privacy Policy (“Agreement”). The Agreement sets forth the entire agreement and understanding between the parties with respect to the Site, and supersedes any other agreements, discussions, proposals, representations or warranties, written or oral, with respect to the Site. Failure or delay by either party in exercising any right or remedy will not constitute a waiver. If any provision of this Agreement will be declared invalid, the entire Agreement will not fail on its account, and that provision will be severed, with the balance of this Agreement continuing in full force and effect. We reserve the right to amend these Terms of Use at any time and your use of the website following any amendments will represent your agreement to be bound by these terms and conditions as amended. We therefore recommend that each time you access our Site you read these Terms of Use. A printed version of the Agreement shall be admissible in judicial or administrative proceedings with respect to the Site to the same extent and given the same effect as any contracts in non-electronic format.
